Educational Facilities Services, Inc. (EFS),
EFS provides comprehensive project delivery services to the educational community. Rodgers Capital Group was a founding investor of the company in 1993 and was an advisor to management and the board through 2001. During that period, RCG assisted in the development of 19 major educational projects totaling over 700,000 square feet. RCG was responsible for creating a suitable business plan to allow EFS to become a viable long-term entity instead of a project specific development company. |

Towne Services,
Towne was a provider of services and products that processed sales and payment information and related financing transactions for small businesses and banks in the United States. Towne held its initial public offering in 1998 and was acquired by Private Business in 2001. Rodgers Capital Group became involved with Towne in 1997 and assisted the company in changing its business plan to meet the expectations of the capital markets. RCG remained involved both as an investor and advisor to Towne through a number of financings (total capital raises of $8 million) and merger advisory assignments. |

American Endoscopy Services (AES),
AES is a medical outsourcing company that provides laparoscopic services, including the cleaning, repair and maintenance of equipment to hospitals around the country. Rodgers Capital Group was a founding partner of the company in 1995 and participated as an investor and an advisor to management and the board through a number of financing rounds. RCG’s long-term commitment to the management team was realized through the ultimate sale of the company to Surgis, Inc. in 2002, during the course of the sale process RCG acted as the company’s exclusive financial advisor. Birmingham Aggregates (BA),
BA was involved with the development and operation of limestone quarry operations in the southeastern United States. RCG was involved with the creation of the company in 2001 and assisted with financial and strategic planning followed by the sale of the company in 2003. Lafarge North America acquired BA in 2003. Lafarge’s majority shareholder Lafarge S.A. is one of the world’s largest manufacturers of cement and ready-mix concrete. |

Nuestra Tarjeta de Servicios (NTS),
NTS through its brand “El Banco de Nuestra Comunidad” is a financial services company focused on the Latino immigrant. Rodgers Capital Group was one of the founding investors in 2001 and assisted the company with capital raising and strategic planning. RCG was instrumental in bringing National Bank of Commerce in as the company’s strategic and financial partner in 2003. Through this relationship, NTS was able to successfully expand the company’s reach into the Latino market. In addition, RCG has continued to advise NTS on strategic advisory assignments concerning the spinoff of certain company assets. |

Daniel Corporation,
Daniel was the former real estate subsidiary of Fluor Daniel Construction. The company had created a Senior Living division that provided development and operations of continuing care retirement communities and related businesses. Rodgers Capital Group was hired by Daniel to evaluate the company’s strategic alternatives with respect to their Senior Living division. RCG was familiar with the senior living industry through an early investment in American Retirement Corporation. RCG introduced and negotiated the sale of Daniel’s Senior Living division to ARC in 1998 for approximately $115 million. RCG has continued to explore opportunities with Daniel on a variety of other projects since that time. |
